User Agreement

Version dated 26 June 2026

This User Agreement (hereinafter, the "Agreement") constitutes a public offer within the meaning of Article 437 of the Civil Code of the Russian Federation (hereinafter, the "Civil Code of the RF") and, simultaneously, an offer contract under English contract law (law of contract — offer and acceptance). The Agreement sets forth the terms and conditions governing use of the P2D.IO website located at https://p2d.io/ (hereinafter, the "Website") and the services provided through it.

The Website Operator is Defix global limited, incorporated under the laws of the United Kingdom, registration number 13792058, registered office: Copper House, 88 Snakes Lane East, Woodford Green, England, IG8 7HX (hereinafter, the "Operator", the "Company").

The Agreement is addressed to any natural person who has reached the age of 18 and who uses the Website or any of its individual services (hereinafter, the "User"). Collectively, the Operator and the User are referred to as the "Parties".

Acceptance of the offer: Registration on the Website, creation of a Personal Account, or any act of using the Website constitutes the User's full and unconditional acceptance of the terms of this Agreement (acceptance of the offer pursuant to Article 438 of the Civil Code of the RF). If the User does not agree with any term, the User must immediately cease using the Website.

1. TERMS AND DEFINITIONS

The following terms are used in this Agreement:

"Website" means the internet resource located at https://p2d.io/, including all of its subdomains, mobile versions, and applications, through which the Operator provides Services to Users.

"Personal Account" means a personalised, restricted section of the Website available to the User after registration and enabling use of the full functionality of the Services, management of settings, tracking of transaction history, and payment instruments.

"Buyer Service" means the Operator's intermediary service assisting the User in searching for, ordering, and delivering goods purchased from foreign sellers to whom the User does not have direct access.

"Foreign Seller" means a legal entity or natural person selling goods outside the Russian Federation and/or the United Kingdom from whom the Operator purchases goods on behalf of and in the interests of the User.

"Virtual Card" means a payment instrument in the form of Visa or Mastercard card details (card number, expiry date, CVV/CVC) issued by the Issuer in favour of the User under a partner agreement between the Operator and the Issuer; the card has no physical medium.

"Issuer" means a third party — an authorised financial or payment organisation with which the Operator has entered into a partner agreement and which issues Virtual Cards and is responsible for their servicing in respect of issuance.

"eSIM" means an embedded electronic SIM card, the mobile operator profile of which is downloaded remotely; the Operator provides the ability to pay for and activate eSIM through the Website.

"Referral Programme" means a system for rewarding Users for attracting new registered Users who perform paid actions on the Website; rewards are credited in accordance with the procedure set out in Section 6 of this Agreement.

"Referral Link" means a unique personalised link generated by the Website for each participant in the Referral Programme.

"Reward" means a monetary amount or other form of incentive credited to the referring User for referred Users in accordance with the terms of the Referral Programme.

"Personal Data" means any information relating to an identified or identifiable natural person, processed in accordance with Federal Law No. 152-FZ of 27 July 2006 "On Personal Data" (Russian Federation) and UK GDPR / Data Protection Act 2018 (United Kingdom).

"Force Majeure" means circumstances of irresistible force that a Party could not foresee or prevent, including natural disasters, wars, sanctions, actions of public authorities, and large-scale failures in internet infrastructure.

2. GENERAL TERMS OF WEBSITE USE

2.1. Access to the Website and registration

Basic Website content may be used without registration. To access the Services, the User must create a Personal Account by completing registration. Upon registration, the User provides:

a current email address;

a mobile telephone number for verification;

other data required for individual Services (name, delivery address, etc.).

The User warrants the accuracy of the data provided and undertakes to update them in a timely manner. One User may register under one account only. Creation of multiple accounts by one person is prohibited unless expressly permitted by the Operator.

2.2. Age and legal capacity

The Website Services are intended exclusively for legally capable natural persons who have reached the age of 18. By registering on the Website, the User confirms that they have reached the stated age and possess full legal capacity. The Operator may require documentary proof of age.

2.3. Account security

The User bears sole responsibility for safeguarding their login and password. All actions performed using the User's credentials are deemed to have been performed by the User themselves, unless the User proves otherwise. If unauthorised access is suspected, the User must immediately notify the Operator through the Personal Account or at support@p2d.io and change their password.

2.4. Amendment of the Agreement

The Operator may unilaterally amend this Agreement by publishing a new version on the Website. Amendments take effect 10 (ten) calendar days after publication, unless a different effective date is specified in the new version. The Operator notifies the User of amendments by email to the address provided at registration. Continued use of the Website after amendments take effect constitutes the User's acceptance of the new version.

2.5. Cessation of Website use

The User may delete their Personal Account at any time by sending a request to support@p2d.io. Deletion of the Personal Account does not terminate the User's obligation to pay for Services already rendered. The Operator may block or delete the Personal Account in the cases provided for in Section 9 of this Agreement.

3. BUYER SERVICE (ASSISTANCE WITH PURCHASING GOODS ABROAD)

3.1. Description of the service

Under the Buyer Service, the Operator provides the User with intermediary services for the purchase of goods from Foreign Sellers. The Operator acts as an intermediary (agent, commission agent) — in its own name, but in the interests of the User. The Operator is not the manufacturer, seller, or distributor of the goods purchased.

3.2. Order placement procedure

To place an order through the Buyer Service, the User:

Logs into the Personal Account and navigates to the Buyer Service section.

Specifies the product link, desired quantity, characteristics (size, colour, etc.), and delivery address.

Receives from the Operator a cost calculation including the product price, the Operator's commission, international and domestic delivery costs, customs duties, and taxes (where applicable).

Confirms the order and makes full prepayment.

After receipt of prepayment, the Operator purchases the goods from the Foreign Seller and arranges delivery to the User.

3.3. Service cost and additional expenses

The total order cost comprises:

the cost of the goods at the Foreign Seller's exchange rate;

the Operator's commission for intermediary services (as stated in the calculation);

international delivery costs to the Operator's warehouse or to the User;

domestic (local) delivery costs to the User's address;

customs duties, VAT, and other mandatory charges levied upon import of the goods.

The final cost is fixed at the moment of order confirmation. If the exchange rate, the Foreign Seller's price, or customs tariffs change after order confirmation but before purchase, the Operator notifies the User and obtains renewed consent.

3.4. Delivery and timeframes

Delivery timeframes are indicative and depend on the Foreign Seller, the logistics chain, and customs clearance. The Operator is not liable for delays caused by third parties — carriers, customs authorities, or the Foreign Seller. The Operator informs the User of order progress stages in the Personal Account.

3.5. Customs clearance and applicable rules

Import of goods for personal use into the territory of the Russian Federation is governed by Decision of the Council of the Eurasian Economic Commission No. 107 of 20 December 2017 (duty-free import thresholds). The User must independently ensure that ordered goods comply with import rules and fulfil customs legislation requirements. For Users located in the United Kingdom, HMRC rules on duties and import VAT apply.

3.6. Restrictions and prohibited goods

The following may not be purchased through the Buyer Service:

goods prohibited from import under the laws of the Russian Federation or the United Kingdom (weapons, narcotic substances, precursors, etc.);

goods infringing intellectual property rights (counterfeit products);

goods subject to applicable sanctions restrictions;

goods requiring a special permit or licence that the User does not hold;

goods for resale or commercial use (the Buyer Service is intended exclusively for personal consumption).

The Operator may refuse to fulfil an order if it is established that the goods to be purchased fall within one of the above categories.

3.7. Returns and claims under the Buyer Service

Return of goods is possible if:

the goods do not match the Foreign Seller's description or stated characteristics;

the goods arrived with obvious defects or damage arising before transfer to the User;

the Foreign Seller failed to dispatch the goods within the agreed timeframes.

To initiate a return, the User contacts the Operator's support service within 14 (fourteen) calendar days of receipt of the goods, with photographic/video evidence of the defect. The Operator arranges return through the Foreign Seller. Return shipping costs are borne by the party at fault, as determined upon review of the claim.

Please note: goods of satisfactory quality purchased from a Foreign Seller are not eligible for return, as they constitute goods purchased remotely from abroad, and return rules are determined by the Foreign Seller's policy.

4. ISSUANCE AND TOP-UP OF VISA / MASTERCARD VIRTUAL CARDS

4.1. Nature of the service and the Operator's role

Acting under a partner agreement with the Issuer, the Operator provides Users with the ability to order and top up Visa and/or Mastercard Virtual Cards through the Personal Account.

Important: The Operator is not a bank card issuer, credit institution, or payment organisation within the meaning of Federal Law No. 395-1 of 2 December 1990 "On Banks and Banking Activity" or the Payment Services Regulations 2017 (UK). All Virtual Card operations are performed by the Issuer. The Operator acts as the Issuer's agent/distributor and bears liability solely within the scope of its functions under this Agreement.

4.2. Card issuance

To obtain a Virtual Card, the User:

Logs into the Personal Account and navigates to the virtual cards section.

Completes identification (KYC/AML) to the extent required by the Issuer: provides personal data, identity documents, and, where necessary, proof of address.

Accepts the terms of the agreement with the Issuer (a separate document provided by the Issuer).

Pays the card issuance fee (if applicable), the amount of which is stated in the Website's tariff table.

Receives Virtual Card details in the Personal Account.

A Virtual Card is deemed issued from the moment its details are displayed in the User's Personal Account.

4.3. Card top-up

The User may top up the Virtual Card balance through the Personal Account using methods available on the Website. Top-up fees are set in accordance with tariffs in effect at the time of the transaction. Crediting timeframes are determined by the Issuer and the payment system.

4.4. Card use

The Virtual Card is intended for cashless payment for goods and services in online stores and services accepting Visa or Mastercard. The User must use the card exclusively for lawful purposes.

The Virtual Card may not be used to:

pay for goods and services prohibited under applicable law;

conduct transactions related to money laundering or terrorist financing;

disclose card details to third parties;

perform operations violating Visa/Mastercard payment system rules;

use the card in jurisdictions where its use is restricted by the Issuer.

4.5. Issuer liability

The Issuer is responsible for Virtual Card operations, including disputes with merchants, card blocking and unblocking, transaction limits, and compliance checks, in accordance with its rules and applicable law. The Operator assists in forwarding User enquiries to the Issuer but is not a party to disputes regarding card transactions.

4.6. Limitation of liability regarding cards

The Operator is not liable for:

refusal of a transaction by a merchant or payment system;

temporary unavailability of the card for technical reasons on the Issuer's side;

losses arising from unauthorised use of card details by third parties due to the User's fault (breach of Section 4.4 of this Agreement);

amendment or termination by the Issuer of Virtual Card servicing terms.

4.7. Refund of funds from a virtual card

The procedure for refunding the remaining balance on a Virtual Card is determined by the Issuer's rules. The Operator may not initiate a refund from the card without coordination with the Issuer. The User submits a refund request through the Personal Account; the Operator forwards it to the Issuer. Processing timeframes are in accordance with the Issuer's rules, but not exceeding 30 business days.

5. eSIM PAYMENT AND ACTIVATION

5.1. Description of the service

The Operator provides Users with the ability to pay for and receive eSIM profiles (electronic SIM cards) of various mobile operators through the Personal Account. The Operator acts as an agent/distributor of eSIM providers and is not a mobile network operator.

5.2. eSIM purchase procedure

The User selects an eSIM tariff plan in the Website catalogue (country/region of use, data volume, validity period).

Makes payment through the Personal Account.

Receives a QR code and/or eSIM activation data in the Personal Account and/or by email.

Independently installs the eSIM profile on a compatible device.

The Operator's obligation to deliver the eSIM is deemed fulfilled from the moment the QR code or activation code is displayed in the User's Personal Account.

5.3. Technical requirements

The User's device must support eSIM technology. The Operator is not liable for inability to use an eSIM due to device incompatibility or device locking by a mobile operator. Before purchase, the User must verify their device compatibility.

5.4. eSIM refunds

Pursuant to the Law of the Russian Federation No. 2300-I of 7 February 1992 "On Protection of Consumer Rights" and Decree of the Government of the Russian Federation No. 2463 of 31 December 2020, telecommunications services and digital products properly activated or delivered to the User are not eligible for return.

Refunds are made in the following cases:

the QR code or activation data are technically defective and do not permit installation of the eSIM profile — provided the User contacts support before first activation within 7 (seven) calendar days;

the User did not receive the QR code or activation data in the Personal Account within 24 hours of payment.

For Users in the United Kingdom, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply. The right to cancel the contract (cooling-off period, 14 days) does not apply to digital content where the User has expressly agreed to immediate performance and confirmed loss of the right to cancel (Reg. 37(1)(b)).

6. REFERRAL PROGRAMME

6.1. Participation terms

Any registered User with an active Personal Account may participate in the Referral Programme. Participation is voluntary and free of charge (rewards are credited only upon fulfilment of the conditions in Section 6.3 of this Agreement).

6.2. Referral link

After joining the Referral Programme, the User receives a unique Referral Link in the Personal Account. The User may distribute the Referral Link by any lawful means, subject to this Agreement and applicable advertising legislation.

The following is prohibited:

using spam, fraudulent methods, or misleading advertising to attract referrals;

posting the Referral Link on resources that violate the laws of the Russian Federation or the United Kingdom;

self-referral (registering using one's own Referral Link);

creating circular mutual referral schemes;

using automated tools to inflate clicks or registrations.

6.3. Reward crediting conditions

A reward is credited to the referring User upon simultaneous fulfilment of all of the following conditions:

the new User completed registration on the Website via the referrer's Referral Link;

the new User is a unique person not previously registered on the Website;

the new User performed a paid action (the specific list and minimum transaction amount are set out in the "Referral Programme" section of the Personal Account);

registration of the new User occurred within 30 (thirty) days of clicking the Referral Link.

The reward amount, crediting procedure, and withdrawal method are stated on the Website's Referral Programme page and may be amended by the Operator with at least 7 days' notice to Users.

6.4. Reward payment

The reward is credited to the internal Personal Account balance or paid by another method provided for in the programme terms within 10 business days after confirmation that the conditions in Section 6.3 of the Agreement have been met. The Operator may withhold tax at source (personal income tax — 13% for residents of the Russian Federation) in cases provided for in Article 226 of the Tax Code of the Russian Federation.

6.5. Termination and cancellation

The Operator may exclude a User from the Referral Programme and cancel accrued but unpaid rewards in the event of breach by the User of Section 6.2 of the Agreement or upon establishment of fraud. The Operator may terminate the Referral Programme entirely upon 30 days' notice to Users.

7. PAYMENT FOR SERVICES AND FINANCIAL TERMS

7.1. Payment procedure

Payment for Services is made in Russian roubles (RUB) or another currency stated on the relevant Website page, by cashless settlement using available methods: bank card, electronic payment systems, Virtual Card, and other methods indicated in the Website interface. Transactions are processed by payment providers — third parties.

7.2. Tariffs

Current Service tariffs are published on the relevant Website pages. The Operator may amend tariffs with notice to Users via the Website and/or by email. Tariff changes do not apply to orders already paid for and confirmed.

7.3. Refunds — general procedure

Refunds to the User are made in the following cases:

the Operator was unable to fulfil an accepted and paid order for reasons beyond the User's control;

a service of unsatisfactory quality was provided due to the Operator's fault;

double debiting of funds due to a technical error.

Refunds are made by the same method used for payment, within 10 business days of the decision on the merits of the claim. Where refund by the original method is impossible — by a method agreed between the Parties.

7.4. Refund specifics — Russian Federation legislation

Relations with Users who are natural persons are governed by the Law of the Russian Federation No. 2300-I of 7 February 1992 "On Protection of Consumer Rights". Particulars of refunds for each category of Services are set out in the relevant sections of this Agreement (Section 3.7, Section 4.7, Section 5.4).

7.5. Refund specifics — United Kingdom legislation

Insofar as applicable to Users residing in the United Kingdom, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the Consumer Rights Act 2015 apply. The right to cancel the contract applies to Services that are not digital content or services immediately performed with the consumer's express consent. Further details are in Sections 3.7 and 5.4 of this Agreement.

7.6. Taxes

The User is solely responsible for payment of all taxes and charges associated with use of the Services, including personal income tax on Rewards received under the Referral Programme (Article 208 of the Tax Code of the Russian Federation), and customs duties on import of goods under the Buyer Service.

8. RIGHTS AND OBLIGATIONS OF THE PARTIES

8.1. The Operator undertakes to:

provide Services in accordance with this Agreement and applicable law;

ensure Website operation with a reasonable level of availability, taking into account scheduled maintenance and force majeure circumstances;

process Users' Personal Data in accordance with the Privacy Policy and applicable law;

consider User enquiries and claims within the timeframes provided in the Agreement;

notify Users of changes to the Agreement and tariffs within the timeframes established in the Agreement.

8.2. The Operator is entitled to:

change Website functionality, interface, and content without prior notice;

temporarily suspend Website operation for maintenance or security purposes;

refuse to provide a Service in cases provided for in the Agreement;

request additional documents from the User for verification (KYC/AML);

delegate processing of certain functions and data to subcontractors subject to personal data protection legislation;

restrict, block, or delete the User's Personal Account in cases provided for in Section 9 of the Agreement.

8.3. The User undertakes to:

provide accurate, current, and complete data upon registration and use of Services, and update them promptly upon change;

keep Personal Account access credentials confidential and not disclose them to third parties;

use Services exclusively for personal, non-commercial purposes;

not attempt unauthorised access to Website systems and not use automated data collection tools without the Operator's written consent;

not use Services for money laundering, terrorist financing, or other unlawful operations;

comply with the Referral Programme terms set out in Section 6 of the Agreement;

independently and timely fulfil tax obligations under applicable law;

comply with Visa/Mastercard payment system rules and the Issuer's terms regarding use of Virtual Cards.

8.4. The User is entitled to:

receive Services in accordance with the Agreement;

contact the Operator's support service at support@p2d.io with questions and claims;

withdraw from the Referral Programme at any time;

delete the Personal Account in accordance with Section 2.5 of the Agreement;

withdraw consent to Personal Data processing (with consequences provided for in Section 10 of the Agreement).

9. ACCESS RESTRICTION AND PERSONAL ACCOUNT BLOCKING

The Operator may temporarily restrict or permanently block the User's access to the Personal Account and Services in the following cases:

breach by the User of this Agreement;

provision of knowingly false data upon registration or verification;

suspicion of fraud, money laundering, or other unlawful use of Services;

receipt by the Operator of an order from a court, law enforcement, or regulatory authority;

breach of Visa/Mastercard payment system rules or Issuer requirements;

abuse of the Referral Programme (Section 6.5 of the Agreement).

The User is notified of blocking by email, except where such notification is impossible or prohibited by competent authorities. Upon permanent blocking, the Operator ensures refund to the User of unapplied funds for unrendered Services (where applicable).

10. PERSONAL DATA AND PRIVACY

10.1. Legal bases for processing

Processing of Users' Personal Data is carried out on the basis of:

Federal Law No. 152-FZ of 27 July 2006 "On Personal Data" — for data subjects located in the territory of the Russian Federation;

receive data in a machine-readable format (right to data portability);

object to processing based on the Operator's legitimate interest;

Withdrawal of consent to processing of Personal Data necessary for performance of the contract renders use of Services impossible and terminates the Agreement. Withdrawal does not affect the lawfulness of processing carried out before receipt of withdrawal. Requests are sent to support@p2d.io.

10.4. Data subjects in the United Kingdom — additional rights

Users located in the United Kingdom may lodge a complaint with the Information Commissioner's Office (ICO) at https://ico.org.uk/ if they believe their rights have been infringed.

10.5. Cross-border data transfers

Transfer of data to the Issuer for KYC/AML purposes is carried out to the extent strictly necessary for performance of the contract.

10.6. Privacy Policy

Detailed procedures for Personal Data processing, information about the Operator as data controller, data retention periods, and information about subcontractors are contained in the Privacy Policy published at https://p2d.io/privacy-policy/ and forming an integral part of this Agreement.

11. INTELLECTUAL PROPERTY

Exclusive rights in the Website, its software code, design, logos, trade marks, text, and graphic content belong to the Operator and are protected under the laws of the Russian Federation (Part IV of the Civil Code of the RF) and the United Kingdom (Copyright, Designs and Patents Act 1988; Trade Marks Act 1994).

The User is granted a non-exclusive, non-transferable, limited right to use the Website exclusively for personal non-commercial purposes in accordance with the Agreement. Any other use of the Operator's intellectual property — reproduction, distribution, decompilation, creation of derivative works — without the Operator's written consent is prohibited.

12. LIMITATION OF OPERATOR LIABILITY

The Website and Services are provided "as is". To the maximum extent permitted by applicable law, the Operator makes no warranties — express or implied — regarding uninterrupted Website operation or suitability of Services for the User's specific purposes.

The Operator is not liable for:

acts or omissions of Foreign Sellers, carriers, or customs authorities under the Buyer Service;

Issuer decisions regarding Virtual Card operations, including refusal of a transaction or card blocking;

unavailability or incorrect operation of mobile operator networks when using eSIM;

losses caused by the User's breach of this Agreement;

indirect, incidental, special, punitive, or consequential losses (loss of profits, consequential loss).

The Operator's aggregate liability to the User in respect of any claim relating to a specific Service shall not exceed the amount actually paid by the User for that Service during the preceding 12 months.

Mandatory consumer rights reservation: nothing in this Section limits or excludes rights of the User established by the Law of the Russian Federation No. 2300-I of 7 February 1992 "On Protection of Consumer Rights", as well as the Consumer Rights Act 2015 (UK), the Unfair Contract Terms Act 1977 (UK), and other provisions the limitation of which is not permitted by law.

13. FORCE MAJEURE

The Parties are released from liability for full or partial non-performance of obligations if such non-performance results from force majeure circumstances, namely extraordinary and unavoidable circumstances under the given conditions: natural disasters, epidemics, wars, armed conflicts, actions of public authorities, imposition of sanctions restricting cross-border payment operations, and large-scale failures of internet or payment system infrastructure.

The Party affected by force majeure must notify the other Party within 5 (five) business days of its occurrence. Insolvency of either Party does not constitute force majeure.

14. DISPUTE RESOLUTION PROCEDURE

14.1. Pre-litigation claims procedure

Before applying to court, the User must send the Operator a written claim setting out the substance of the demands and their grounds. The claim is sent:

by email: support@p2d.io (with retention of proof of sending);

by registered post: to the Operator's registered office.

The claim review period is 30 (thirty) calendar days from the date of receipt. Upon expiry of that period, or if the claim is rejected, the User may apply to court.

14.2. Court proceedings — Russian Federation

If agreement is not reached through the claims procedure, the dispute shall be resolved:

in a court of general jurisdiction at the Operator's location or at the place of residence of the consumer User (at the User's choice) — for natural person Users pursuant to Article 17 of Law of the Russian Federation No. 2300-I;

in the arbitration court at the Operator's location — for disputes related to entrepreneurial activity.

The laws of the Russian Federation apply to this Agreement.

14.3. Court proceedings — United Kingdom

Users residing in the United Kingdom may apply to the courts of England and Wales. United Kingdom consumer protection legislation applies, including the Consumer Rights Act 2015. Alternative dispute resolution (ADR) is available through certified ADR providers in accordance with the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015.

15. ANTI-CORRUPTION COMPLIANCE AND AML

The Operator conducts its activities in compliance with legislation on anti-money laundering and counter-terrorist financing: Federal Law No. 115-FZ of 7 August 2001 (Russian Federation), the Proceeds of Crime Act 2002, and the Terrorism Act 2000 (United Kingdom).

The User represents and warrants that:

funds used to pay for Services are of lawful origin;

they are not included in sanctions lists of the UN, EU, United Kingdom (OFSI), United States (OFAC), or the Russian Federation;

use of Services is not connected with money laundering, tax evasion, or financing of unlawful activity.

The Operator may request documentary proof of the origin of funds and/or the User's identity at any time. If there are grounds to believe the User breaches the above requirements, the Operator may suspend Services and notify competent authorities.

16. MISCELLANEOUS

If any provision of the Agreement is held by a court to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure by the Operator to act in the event of a breach by the User does not constitute a waiver of the Operator's corresponding rights.

This Agreement is drafted in Russian. An English-language version is provided additionally upon request; in the event of discrepancy between texts, the Russian-language version prevails unless otherwise required by applicable consumer protection legislation.

All time periods in the Agreement are calculated in Moscow time (UTC+3), unless expressly stated otherwise.

The Agreement is effective from acceptance until deletion of the User's Personal Account or cessation of Website operation. Provisions of Sections 10, 11, 12, 14, and 15 survive termination of the Agreement.
